Description of the transaction	On 6/14/07 BT United States L.L.C., acquired 100% of the outstanding shares of CI Holding Corporation. The entire consideration was paid in cash and totaled $235,912,000. The acquisition was in the form of a reverse subsidiary cash merger whereby CI Holding Corporation was merged with and into Condor Newco Inc., a transitory corporation formed to effectuate the transaction. CI Holding Corporation was named survivor in the merger transaction. CI Holding Corporation is now a direct and wholly-owned subsidiary of BT United States L.L.C.
